ideaForge ends planned US joint venture with First Breach

what happened

According to a TradingView report, Indian drone developer ideaForge Technology said its fully owned US arm has cancelled a joint venture pact with First Breach Inc. The deal failed to close by the agreed long-stop date, and the two sides also agreed to part ways.

The planned venture, First Forge Technology Inc., was meant to handle licensing, sourcing, design, engineering, production and distribution of unmanned aircraft in America. The original pact dates from September 23, 2025. Under the termination deal, neither party has claims against the other, and non-compete and non-solicitation clauses lapse. No shares were issued and no capital was contributed.

ideaForge stated that management and control of the listed company will be unaffected, and that the matter is not a related-party transaction. On the BSE, the stock closed at 646.65 rupees, down 32.90 rupees or 4.84%.

why it matters

The venture never got off the ground, so there is no direct cash outlay or dilution to weigh. The 4.84% drop suggests investors read the collapse of the US tie-up as a setback for the company's American plans, although management stressed that control is unchanged.
