Samsung Electronics to buy KRW 666.2 billion of Samsung Biologics rights issue

Samsung Electronics said in a filing distributed via RNS that its board approved several related-party transactions and donations. The main one is its participation in a rights offering by Samsung Biologics: the company will buy 567,503 new shares for KRW 666.2 billion, with payment scheduled for November 17, 2026. Including this purchase, Samsung Electronics' total investment in Biologics will reach KRW 2,665 billion.

The company also plans to buy a three-year savings insurance product from Samsung Life Insurance worth KRW 5 billion, paying 4.25% annual interest. Donations include KRW 24.43 billion to the Samsung Life Public Welfare Foundation, KRW 38.69 billion to the Sungkyunkwan University Foundation, KRW 11.8 billion to the university's research foundation and KRW 150 billion to the Korea Inclusive Finance Agency.

In a separate filing, the company disclosed a transfer of 4,690 treasury shares to 29 employees for achieving project goals. The transfer is set for October 30, 2026, at KRW 242,000 per share, a total of about KRW 1.13 billion.

why it matters

Most of these deals are intra-group and involve large investments in the Samsung biotech unit. The amounts are small relative to Samsung Electronics' capital, and the company says dilution from the treasury share transfer will be insignificant. The news is mainly informational and is unlikely to move the stock noticeably.
