Cencora agrees to buy American Oncology Network for $2.4 billion

Cencora said it has signed a definitive agreement to acquire American Oncology Network (AON), a physician-led group of more than 350 cancer care providers in 21 states, according to TradingView. The enterprise value is $2.4 billion, made up of $2.3 billion paid at closing and up to $100 million in contingent value rights. Reuters reported the deal as valued at up to $2.4 billion.

Cencora already holds about 4% of AON and agreed to buy the remaining equity. If some AON shareholders keep up to 25% through an equity rollover, Cencora expects to pay roughly $1.7 billion to reach a 75% stake. It expects the deal to add to adjusted diluted EPS in the second year after closing. Completion depends on regulatory clearances and approval by AON shareholders.

Separately, Cencora updated its fiscal 2026 adjusted EPS guidance to at least $17.90, which sits at the top of its earlier $17.75 to $17.95 range. It will discuss fiscal 2027 expectations on its November 4, 2026 earnings call.
